2.4 “Platform” and “Third-Party Platform” refer to e-commerce platforms, content platforms, or other information display channels independently operated by third parties. The service provider may assist users in providing related services based on platform rules, but is not responsible for the platform’s operation or rule formulation.

2.5 “Content,” “Product Information,” and “Promotional Materials” refer to the text, images, videos, descriptive information, logos, or other related materials provided by users to the service provider for using the service. Users are solely responsible for the authenticity, legality, and completeness of the above content.

2.6 Legal and Regulatory Terms refer to the relevant laws, regulations, industry standards, and regulatory requirements applicable to the service activity, including but not limited to provisions on advertising compliance, intellectual property rights, and platform policies.

3.2 Definition of Service Nature
This service focuses on information display and exposure support, aiming to improve the visibility and dissemination efficiency of product or brand information in reasonable scenarios. It does not constitute any form of sales agency, transaction matching, or investment advice.

3.3 Statement Not Involving Result Commitments
The service provider makes no guarantees or commitments regarding any specific promotional effects, sales results, market response, or commercial benefits. Users understand and agree that promotional results may be affected by various uncontrollable factors such as market environment, platform rules, and user behavior.

3.4 Explanation of Service Method Adjustments
Service methods, display formats, and execution schedules may change due to changes in third-party platform rules, market environment adjustments, or compliance requirements. The service provider has the right to adjust service methods within a reasonable scope.

3.5 Non-Exclusivity and Non-Sole Participation Statement

Unless otherwise expressly agreed in writing, the services provided by the service provider are not exclusive or non-sole. Users understand and agree that the service provider may simultaneously provide similar or identical services to other users.

4.4 Reasonable Circumstances for Service Refusal or Termination

If a user does not meet the eligibility requirements, provides information with obvious non-compliance risks, or their actions may lead to legal, compliance, or platform rule risks, the service provider has the right to refuse to provide services or suspend or terminate services already provided. Such actions are not considered a breach of contract by the service provider.

4.5 User’s Self-Guarantee of Information Authenticity

Users understand and acknowledge that they are solely responsible for ensuring that all information submitted to the service provider is true, complete, and legal. Any consequences arising from untrue, incomplete, or illegal information shall be borne by the user.

Users must comply with the rules, policies, and terms of use of the relevant third-party platforms while using the service. The service provider is not responsible for the formulation, adjustment, or enforcement of the rules of the third-party platforms.

5.3 Prohibition of Providing Illegal, Infringing, or Misleading Content
Users must not provide any illegal, infringing, false, misleading, or potentially controversial content, including but not limited to information infringing intellectual property rights, false advertising, or improper guidance. Users are solely responsible for the legality of the content they provide.

5.4 User’s Full Responsibility for Goods, Brands, and Content
Users enjoy corresponding rights to their goods, brands, and submitted content and bear full legal responsibility. The service provider only provides relevant display or support within the scope of the service and assumes no responsibility for the goods or brands themselves.

5.5 Principle of Risk and Loss Assumption
Users shall bear all legal risks, economic losses, or third-party claims arising from their own actions, content, or information. The service provider shall not assume any related liability to the extent permitted by law.

6.1 User’s Declaration of Rights to Content
The user acknowledges that they legally possess the corresponding rights to the submitted content, or have obtained legal authorization, and have the right to use the relevant content for use under this service.

During the use of the service, the user grants the service provider a non-exclusive, revocable authorization to reasonably use their content within the scope of the service for product display, information presentation, and related service execution.

6.3 Scope, Term, and Purpose of Authorization
The above authorization is limited to the reasonable scope required for the performance of the service, the authorization period matches the service period, and the purpose of use is limited to achieving the service content under these terms.

6.4 Declaration of Non-Transfer of Intellectual Property Rights
Any authorization under these terms does not constitute a transfer or permanent assignment of the intellectual property rights of the user’s content. Unless expressly agreed, the service provider does not claim ownership of the user’s content.

6.5 Principles for Handling Third-Party Rights Disputes
If a third-party rights dispute arises due to the content provided by the user, the user shall be responsible for handling the dispute and bear the corresponding liability. The service provider has the right to take necessary measures within a reasonable scope to reduce or avoid related risks.

Users understand and agree that this service must comply with the rules, policies, and technical requirements of relevant third-party platforms during its execution. The service provider does not participate in the formulation of third-party platform rules and does not assume control over their specific content and adjustments.

7.3 Impact of Platform Rule Changes on Services
Changes in third-party platform rules, policies, or technical mechanisms may affect service methods, presentation formats, or execution schedules. Users understand and accept that such changes are reasonable and unavoidable.

7.4 Disclaimer Regarding Service Changes Due to Platform Policy Adjustments

The service provider shall not be liable for breach of contract or damages arising from service adjustments, restrictions, or interruptions due to third-party platform policy adjustments, system changes, or changes in regulatory requirements.

7.5 Confirmation of the Principle of Compliance Prioritizing Business Execution

Under no circumstances shall compliance requirements take precedence over business execution objectives. The service provider reserves the right to make necessary adjustments to service content or execution methods based on compliance considerations.

8.1 Exposure Services Do Not Constitute a Guarantee of Results

Users understand and acknowledge that exposure services are merely for information display and dissemination support and do not constitute a guarantee of effectiveness, sales, conversion, or other business results.

8.2 Risk Warning Regarding Uncontrollable Factors
Promotion results may be affected by various uncontrollable factors such as market changes, user behavior, platform algorithm adjustments, and changes in the competitive environment. The service provider cannot make commitments or control over such factors.

8.3 Limitation of Liability for Indirect Losses and Expected Profits

To the extent permitted by law, the Service Provider shall not be liable for any indirect losses, incidental losses, loss of expected profits, or loss of business opportunities.

8.4 Definition and Handling of Force Majeure

Force majeure refers to objective events beyond reasonable control, including but not limited to natural disasters, policy changes, system failures, or other unforeseen, unavoidable, or insurmountable circumstances. The Service Provider shall not be liable for service interruptions or adjustments caused by force majeure.

8.5 Principle of Limiting Maximum Liability

In any case, the Service Provider’s liability shall be limited to the minimum permitted by law and shall not exceed the reasonable scope corresponding to the portion of the relevant service actually performed.

The Service Provider has the right to adjust, optimize, or upgrade the service content based on business development, compliance requirements, or technical conditions.

The service provider has the right to suspend or terminate part or all of the service in cases of user violation of these Terms, compliance risks, or changes in laws, regulations, or platform policies.

9.3 Handling of Rights and Obligations After Service Termination

Upon service termination, the rights and obligations of both parties arising prior to termination remain unaffected, and legally mandated responsibilities remain valid.

9.4 Distinction Between Services Performed and Those Not Performed
Services actually performed and completed before service termination are deemed performed; services not actually performed will no longer be provided.

9.5 Declaration of Independence Regarding Partial Invalidity of Terms

If any part of these Terms is deemed invalid or unenforceable, it shall not affect the legality and validity of the remaining Terms.

10.3 Jurisdiction and General Statement of Law

If negotiation fails to resolve the dispute, it may be submitted to a competent authority for handling in accordance with the law.

10.4 Independence and Severability of Terms

Each clause in these Terms is independent, and the invalidity of any clause shall not affect the validity of the remaining clauses.

10.5 Effectiveness and Interpretation of Terms

These Terms shall become effective from the date the user confirms and agrees to and begins using the Service. The Service Provider reserves the right of final interpretation of these Terms to the extent permitted by law.
